1. Scope & Acceptance

These Terms and Conditions (“Terms”) govern (i) the purchase of Desheng Mobiles products (mobile communication devices, IoT terminal devices, and accessories) through our WooCommerce-powered independent online store (the “Store”), and (ii) the use of our terminal products and related services. These Terms apply to all customers (“Customer,” “you,” or “your”) in Europe, the Americas, Southeast Asia, and other regions where we offer our Store and products.

By browsing the Store, creating an account, placing an order, or using our terminal products, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Store or purchase/use our products.

2. Store Operations & Orders (WooCommerce-Specific)

2.1 Product Information

All product descriptions, images, specifications, and pricing displayed on the Store are provided in good faith. We strive for accuracy, but we do not warrant that product information is complete, error-free, or up-to-date. Product availability is subject to stock levels, and we reserve the right to update product information (including pricing) without notice. WooCommerce’s inventory management system will display real-time stock status; if a product is listed as “in stock” but becomes unavailable after your order is placed, we will notify you promptly and offer a refund or alternative product.

2.2 Order Placement & Acceptance

When you place an order through the Store, you submit an offer to purchase the selected products. We reserve the right to accept or reject your order for any reason, including but not limited to: stock shortages, pricing errors, fraudulent activity, or legal restrictions in your region. Order acceptance is confirmed by sending you an order confirmation email (via WooCommerce’s order notification system). Once confirmed, a binding contract is formed between you and Desheng Mobiles.

2.3 Pricing & Payment

  • Prices on the Store are listed in USD, EUR, or local currency (as selected by you) and exclude shipping fees, insurance, taxes, duties, and tariffs, unless explicitly stated otherwise. Applicable taxes, duties, and tariffs will be calculated and added at checkout, based on your shipping address (in compliance with WooCommerce’s tax calculation features and regional regulations).
  • Accepted payment methods: Credit/debit cards (Visa, Mastercard, etc.), PayPal, wire transfer, and other methods displayed at checkout (integrated with WooCommerce’s payment gateways). All payments are processed securely by third-party payment providers; we do not store full payment credentials.
  • Payment must be completed in full before we process and ship your order. If payment is declined, your order will be held until valid payment is received. We reserve the right to cancel orders due to failed payment after 48 hours.

3. Shipping & Delivery (Store-Specific)

  • We ship to all regions listed on the Store (Europe, the Americas, Southeast Asia, etc.). Shipping methods and estimated delivery times are displayed at checkout (powered by WooCommerce’s shipping plugins), and may vary by destination and shipping carrier.
  • You are responsible for providing accurate shipping information (name, address, contact number). We are not liable for delivery delays or failures caused by incorrect shipping details.
  • Risk of loss or damage to the products transfers to you upon delivery to the shipping carrier. We recommend purchasing shipping insurance (available at checkout) for high-value products.
  • Customs duties, taxes, and import fees are your sole responsibility. We are not responsible for delays or seizures caused by customs authorities.

4. Returns, Refunds & After-Sales Service (Store & Terminal Products)

4.1 Store Return & Refund Policy (WooCommerce-Specific)

  • Cooling-Off Period: EU customers have a 14-day cooling-off period from the date of delivery (per EU consumer law). Customers in other regions may have similar rights under local law; please check your regional regulations.
  • Eligibility: To be eligible for a return/refund, products must be unused, in their original packaging, with all accessories (e.g., chargers, manuals) intact. Customized products are non-returnable unless defective.
  • Return Process: To initiate a return, contact support@desheng-mobile.com within the cooling-off period or within 7 days of discovering a defect. We will provide a return authorization (RA) number and return shipping instructions. Return shipping costs are your responsibility unless the product is defective, incorrect, or damaged during shipping (you must provide photo evidence of damage).
  • Refund Processing: Once we receive and inspect the returned product (typically 3-5 business days), we will process your refund to the original payment method. Refund times vary by payment provider (usually 5-10 business days).

4.2 Terminal Product Warranty & After-Sales Support

  • Limited Warranty: All terminal products come with a 12-month limited warranty from the date of delivery (extended to 24 months if required by local law). The warranty covers defects in materials and workmanship under normal use.
  • Warranty Exclusions: The warranty does not cover: accidental damage, misuse, unauthorized repair or modification, software issues (e.g., third-party app errors), normal wear and tear, or damage caused by non-compliance with product instructions.
  • Warranty Claim Process: To file a warranty claim, contact support@desheng-mobile.com with your order number (from the Store), proof of purchase, and details of the defect (including photos/videos if applicable). We may offer repair, replacement, or refund (at our discretion) for eligible claims.
  • Post-Warranty Service: After the warranty period expires, we offer paid repair services (fees vary by product and defect). Contact our support team for a repair quote.

5. Use of Terminal Products & Data

  • You agree to use our terminal products in compliance with local laws and regulations. You may not use the products for illegal or unauthorized purposes (e.g., data theft, unauthorized access to third-party systems).
  • Our terminal products may collect and transmit sensitive data (contacts, location, etc.) only with your explicit consent, as detailed in our Privacy Policy. You can revoke consent at any time through the product’s settings, which may disable certain functions.
  • All intellectual property rights (patents, trademarks, copyrights, software licenses) in our terminal products and Store content remain the exclusive property of Desheng Mobiles. You may not copy, modify, reverse-engineer, or distribute our products or software without our written permission.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

  • Desheng Mobiles shall not be liable for indirect, incidental, special, or consequential damages (including but not limited to loss of profits, data, business interruption, or damage to third-party devices) arising from your use or inability to use our Store, products, or services.
  • Our total aggregate liability for any claim arising from these Terms (including product defects, order errors, or data issues) is limited to the total amount paid by you for the relevant product(s).
  • We are not liable for delays or failures caused by factors beyond our control (e.g., natural disasters, shipping carrier delays, customs issues, or third-party service outages).

7. Governing Law & Disputes

  • EU Customers: These Terms are governed by the laws of your country of residence, and your statutory consumer rights (under EU law) cannot be excluded or restricted.
  • California (USA) Customers: These Terms are governed by the laws of the State of California, USA, without regard to conflict of laws rules.
  • Southeast Asia & Other Regions: These Terms are governed by the laws of the People’s Republic of China, without regard to conflict of laws rules.
  • Dispute Resolution: Before initiating litigation, you agree to attempt to resolve any dispute amicably by contacting our support team (support@desheng-mobile.com). If amicable resolution fails, disputes will be submitted to the competent courts of Shenzhen, China (except for EU/California customers, who may pursue disputes in their local courts).

8. General Provisions

  • Severability: If any term of these Terms is found to be invalid or unenforceable, the remaining terms shall remain in full force and effect.
  • Modifications: We may update these Terms periodically to reflect changes in WooCommerce functionality, business practices, or applicable laws. Changes will be posted on the Store homepage with at least 30 days’ prior notice. Your continued use of the Store or products after the effective date of changes constitutes acceptance of the updated Terms.
  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Desheng Mobiles, superseding any prior agreements or understandings (written or oral) related to the Store and products.
  • Force Majeure: We shall not be liable for any failure to perform our obligations due to circumstances beyond our control (e.g., natural disasters, war, strikes, or government restrictions).
